These Gift Card Terms & Conditions regulate the purchase, activation, validity, and use of Gift Cards issued by the Company. They define the legal nature of the Gift Card, applicable expiration rules, redemption conditions, refund limitations, and anti-fraud safeguards, ensuring transparent and secure use of voucher-based payments in compliance with applicable EU legislation.

The Company identified in Section 1 (“Company”) operates this Website. These Terms apply exclusively to consumer (B2C) purchases unless otherwise stated.

2. Definitions

  • “Business Day” means any day other than a Saturday, Sunday, or public holiday in Lithuania, unless otherwise specified.

3. Scope and Purpose

This document regulates the specific subject matter identified in its title and must be read together with the other documents forming part of the Website Legal Framework.

Nothing in this document limits mandatory rights granted under applicable consumer protection or data protection legislation.

4. Nature of the Gift Card

The Gift Card qualifies as a Single-Purpose Voucher (SPV) within the meaning of applicable EU VAT legislation. VAT is determined and accounted for at the time of issuance.

No additional VAT shall be charged upon redemption of the Gift Card for Goods covered by the SPV regime.

The Gift Card:

  • Represents a prepayment for future purchase of Goods or Services
  • Does not constitute electronic money
  • Does not create a bank account or regulated payment instrument
  • Does not accrue interest
  • Does not confer ownership rights in the Company

Ownership transfers upon successful payment.

5. Purchase and Issuance

Gift Cards:

  • Are issued in EUR
  • Are available in selected denominations
  • May be delivered electronically or in physical format

The Customer is responsible for ensuring the correctness of any email address or delivery information provided. The Company is not liable for incorrect delivery caused by inaccurate information submitted by the Customer.

Gift Cards may not be resold, used for commercial resale purposes, promotional redistribution, or bundled with third-party commercial activities without prior written consent of the Company.

The Company reserves the right to refuse, suspend, or cancel issuance in cases of suspected fraud, abuse, AML concerns, or payment irregularities.

By purchasing a digital Gift Card, the Customer agrees to receive the Gift Card and all related communications electronically.

6. Order and Contract Formation

The purchase of a Gift Card constitutes an Order.

The Order represents an offer to conclude a Contract.

The Contract is concluded only upon confirmation of successful payment and issuance of the Gift Card code.

Automatic payment confirmation does not constitute acceptance in case of technical or pricing error.

7. Validity Period

The Gift Card is valid for 12 (twelve) months from the date of purchase unless otherwise specified.

After expiration:

  • Any unused balance is automatically cancelled
  • The balance cannot be refunded, restored, or extended

The Customer is responsible for using the Gift Card before its expiration date.

The expiration period complies with applicable national legislation and reflects the commercial validity policy of the Company.

The Company is not obliged to provide reminders prior to expiration unless required by law.

8. Redemption and Use

The Gift Card may be used:

  • For purchases of Goods on the Website
  • For selected in-store or appointment-based purchases (if applicable and specified by the Company)

Unless otherwise stated:

  • Partial use is permitted
  • Remaining balance remains available until expiration
  • Multiple payment methods may be combined in one transaction
  • Promotional discounts may apply unless restricted

Gift Cards:

  • Are transferable
  • Are bearer instruments (whoever possesses the code may use it)

The Company is not responsible for unauthorized use where the Gift Card code has been shared or accessed by third parties.

The Customer is solely responsible for correct entry of the Gift Card code at checkout. The Company is not liable for loss resulting from incorrect input of the code by the Customer.

The Company reserves the right to deactivate or suspend a Gift Card if it is used in breach of these Terms.

9. Right of Withdrawal

If a Gift Card is purchased online:

  • The Customer may have a 14-day right of withdrawal under EU consumer law

However, the withdrawal right may be lost if:

  • The Gift Card has been fully or partially redeemed
  • The Customer expressly consented to immediate activation

If unused and withdrawal is legally valid, refund will be issued via the original payment method.

10. Refund Restrictions

Gift Cards:

  • Cannot be exchanged for cash
  • Cannot be redeemed for monetary value
  • Cannot be refunded after partial or full use

If Goods purchased with a Gift Card are returned:

  • Refund will be issued to a new Gift Card or restored to the original Gift Card balance
  • Cash refund is provided only where required by mandatory law

In the event of payment reversal, chargeback, or fraudulent dispute after issuance or redemption, the Company reserves the right to invalidate the corresponding Gift Card and recover losses.

11. Loss, Theft & Unauthorized Use

The Customer must treat the Gift Card code as confidential.

If a Gift Card is:

  • Lost
  • Deleted
  • Stolen
  • Used without authorization

The Company is not liable unless fraud or internal error is proven.

The Company may, at its discretion, reissue a Gift Card only if:

  • Valid proof of purchase is provided
  • The balance has not been used

The burden of proof lies with the Customer.

12. Fraud Prevention

The Company reserves the right to:

  • Suspend Gift Cards
  • Cancel suspicious transactions
  • Refuse redemption
  • Request identity verification

Fraudulent activity may be reported to competent authorities.

Suspicious activity may result in temporary suspension pending investigation.

13. Technical Limitations

The Company does not guarantee uninterrupted or error-free operation of the Website.

The Company shall not be liable for temporary unavailability of the Website, system failures, technical malfunctions, connectivity issues, maintenance interruptions, cybersecurity incidents, or errors caused by third-party service providers beyond the Company’s reasonable control.

The Company reserves the right to correct any obvious technical or typographical errors, including pricing or system-related inaccuracies.

14. Limitation of Liability

Nothing in this Website Legal Framework limits or excludes liability:

  • for fraud or fraudulent misrepresentation;
  • for death or personal injury caused by negligence;
  • where limitation or exclusion is prohibited by applicable law.

To the maximum extent permitted by law, the Company shall not be liable for indirect, incidental, special, or consequential losses, including loss of profit, loss of business opportunity, or loss of data.

Where liability cannot be excluded, it shall be limited to the amount paid by the Customer for the relevant Goods, Services, or transaction giving rise to the claim.

15. Force Majeure

The Company shall not be liable for failure or delay in performing its obligations due to events beyond its reasonable control, including but not limited to:

  • natural disasters,
  • governmental actions or restrictions,
  • war, civil unrest, or strikes,
  • cyberattacks or large-scale technical failures,
  • telecommunications or utility disruptions.

Performance of obligations shall be suspended for the duration of such event.

16. Severability and No Waiver

If any provision of this document is found to be invalid, unlawful, or unenforceable, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.

Failure by the Company to enforce any right or provision shall not constitute a waiver of such right or provision.

17. Amendments

The Company reserves the right to update or amend this document at any time.

The version published on the Website at the time of the relevant transaction shall apply unless otherwise required by mandatory law.

Amendments shall not affect Contracts already concluded unless required by mandatory law.

Any disputes arising out of or relating to this document shall be subject to the competent courts of Lithuania, without prejudice to the right of consumers to bring proceedings in their country of residence in accordance with applicable EU law.

Nothing in this section limits statutory rights that cannot be excluded under applicable legislation.

Consumers may also submit disputes through the European Commission’s Online Dispute Resolution platform (ODR).
